TERMS OF USE AND REFUND POLICY

HOW THIS PAGE IS NUMBERED

This page covers everything we offer, so it is in two halves.

Paragraphs 1 to 17 apply to everyone, whatever you have enrolled on. The Schedules at the end apply to one kind of product each: Schedule A to our self-paced courses, Schedule B to our live workshops, and Schedule C to our communities.

So if a paragraph number has a letter in front of it, check the letter: it tells you which product it is about. If it has no letter, it applies to you whatever you enrolled on. Where a Schedule says something different from paragraphs 1 to 17, the Schedule is the one that governs for that product.

PART ONE. TERMS THAT APPLY TO EVERYTHING WE OFFER

1. WHO THESE TERMS ARE BETWEEN

These terms are between XLabh Innovations Inc., a company incorporated in Canada ("we", "us"), and you, the person who enrols. Your payment is received by XLabh Innovations Inc. Enrolling, or using this website, means you accept these terms.

2. WHAT WE OFFER

We offer self-paced online courses, live online workshops, and discussion communities. What each one includes, who may enrol on it, how long you have access, and what happens if you cancel, are in the Schedule for that product.

3. WHO MAY ENROL

3.1 Eligibility is stated in the Schedule for the product you are enrolling on, and you must meet it at the time you enrol.

3.2 Where a product is open to registered medical practitioners, you must give your medical council of registration, your registration number and your primary medical qualification, and you confirm that all three are true and current. It does not matter where you are living or practising at the time, provided your registration is current. If you practise outside the country of your registration, you remain responsible for the law and the professional guidance that apply where you practise.

3.3 Where a product is open to registered medical practitioners, it is not open to practitioners of other systems of medicine, or to nurses, dietitians or other healthcare professionals, however well qualified. Anyone else may enrol only by prior written arrangement with us.

3.4 If it turns out that you did not meet the eligibility for a product, we may cancel your enrolment and refund your fee in full, and you may not attend or take part.

4. YOUR ACCOUNT

4.1 Your login is yours alone. You may not share it, and you may not allow anyone else to attend, view or take part in your place. We may end your access without refund if a login is shared.

4.2 Please keep your password confidential and tell us promptly if you think someone else has used your account.

5. WHAT IS NOT INCLUDED IN ANYTHING WE OFFER

What is included is in the Schedule for that product. None of them includes:

5.1 Individual clinical advice about any patient of yours, during or after.

5.2 Any continuing supervision, mentorship or on-call availability.

5.3 Any accreditation, credit or recognition by any council, university or professional body.

5.4 Any access after the access period in the Schedule has ended.

6. YOUR LICENCE TO USE THE MATERIAL

6.1 Everything shown, said or supplied remains ours or our licensor's. You are given a personal licence to use it for your own learning and in your own practice. Anything that is given to you to keep, you may keep and refer to for as long as you wish.

6.2 That licence is personal to you and cannot be transferred. It does not allow you to pass the material to anyone else, or to teach from it.

7. WHAT YOU AGREE NOT TO DO

7.1 Not to record any live session, by any means, in whole or in part.

7.2 Not to publish, circulate, share or forward any material, including any handout, slide, screenshot or recording, whether to a colleague, to a group or online, and not to teach from it.

7.3 Not to share your login or allow anyone else to take part in your place.

7.4 Where other participants are present, not to repeat outside anything a participant says about a patient.

7.5 Where a product involves live sessions or a community, fuller undertakings and the rules for that group will be sent to you before it begins, and you accept now that they will apply to you when they are.

8. THIS IS EDUCATION. IT IS NOT AUTHORITY TO PRESCRIBE OR TO PRACTISE.

8.1 What we offer teaches. It does not qualify, accredit, license or authorise you to do anything. You practise within the scope of your own registration, which nothing here adds to or limits, and every clinical decision you take about any patient remains yours alone.

8.2 Some content may cover uses of medicines outside their marketing authorisation, and it is for you to judge what is appropriate for a patient in front of you, against current evidence, professional guidance and the law where you practise.

8.3 Nothing here creates a doctor and patient relationship between us and you, or between us and any patient of yours.

9. YOUR INFORMATION

9.1 We collect your name, contact details, professional registration details and payment information, and we use them to provide what you have enrolled on, to verify eligibility, to issue any certificate and to keep the records we are required to keep. We do not sell your details or give them to anyone for their own marketing.

9.2 Our privacy notice is published separately and sets this out in full. If anything in that notice conflicts with this paragraph, this paragraph governs so far as your enrolment is concerned.

10. IF SOMETHING GOES WRONG

10.1 Write to us at [email protected]. Please tell us your name and what has happened. We will acknowledge within three working days and answer within fourteen.

10.2 If we have got something wrong, we will put it right. Where a refund of all or part of your fee is the fair answer, we may make one, whether or not these terms require it.

10.3 If you are still not satisfied, paragraph 11 explains what happens next.

11. LAW AND FORUM

11.1 These terms are governed by the law of India.

11.2 Nothing in these terms takes away any right you have under the law that applies to you, including any right to complain to a consumer forum where you live.

11.3 Before either of us begins proceedings, please use paragraph 10. If that does not resolve the matter, either of us may propose mediation, and neither of us will treat a proposal to mediate as an admission.

11.4 We submit to the jurisdiction of the courts at Mumbai, and you may bring any claim against us there.

11.5 We may bring proceedings against you in the courts at Mumbai, or in any other court that has jurisdiction, including where you live or carry on your practice, and we may apply to any court, anywhere, for an order to stop our material being copied, published or circulated. Nothing in this paragraph prevents either of us from bringing a claim in any other court that has jurisdiction over the party sued.

12. CHANGES

We may change these terms for future enrolments. The version in force when you enrolled is the version that applies to you.

PART TWO. CANCELLATION AND REFUNDS

13. HOW THIS PART WORKS

What happens if you cancel is in the Schedule for the product you enrolled on, because a live workshop and a self-paced course are not the same thing. Paragraphs 14 to 17 are true of all of them.

14. IF WE CANCEL, OR CANNOT DELIVER

14.1 If a live session cannot be held on its date, we will hold it on another date within fourteen days and tell you as soon as we can.

14.2 If you cannot attend the new date, you may have that session's recording instead, or a refund of the proportionate part of your fee.

14.3 If a product does not go ahead at all, you receive a full refund, without your having to ask.

15. IF YOU ARE NOT ELIGIBLE

If it turns out that you did not meet the eligibility in the Schedule, we will cancel your enrolment and refund your fee in full.

16. HOW REFUNDS ARE MADE

To the card or account you paid from, within fourteen days of the refund being agreed. Bank or currency conversion charges are not within our control.

17. YOUR RIGHTS

Nothing in these terms takes away any right you have under the law that applies to you.
